PE buyers focus on certifications, backlog quality, and workforce depth.

Strategic/OEM acquisitions

Aerospace primes, Tier 1 defense suppliers, and medical device OEMs acquire machine shops to bring critical production in-house. These deals carry the highest multiples because the buyer is securing their supply chain — not just buying a business. They pay for your certifications, your validated processes, and your qualified workforce. Customer concentration risk (which normally suppresses multiples) is actually an advantage when the concentrating customer is the buyer.

SBA-financed acquisitions

Smaller machine shops (under $3M) sell to individual buyers using SBA 7(a) loans. SBA underwriters value the equipment collateral (CNC machines hold value well) and predictable backlog. The key SBA concern is owner dependence — the buyer must demonstrate they can run the shop or have a shop manager in place. AS9100D certification belongs to the entity, not the individual — but a change of ownership triggers a re-audit by the registrar. ITAR registration requires notification to DDTC.
