1. Acceptance of these terms
These Terms of Service (“Terms”) govern your use of companysellers.com and its subdomains (the “Site”), operated by Company Sellers, LLC, a Colorado limited liability company (“Company Sellers”, “we”, “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
2. Use of the Site
You may use the Site to research businesses for sale, learn about our services, and contact us. You agree not to: misrepresent your identity or your reason for enquiring about a business; scrape, harvest or systematically collect data from the Site other than as our robots.txt permits; interfere with the Site’s operation or security; or use the Site for any unlawful purpose.
We may suspend or restrict access to the Site, or to any enquiry or listing information, at our discretion — including where we believe a user has misrepresented themselves or misused confidential information.
3. No offer or solicitation
Nothing on this Site is an offer to sell, or a solicitation of an offer to buy, any business, security, or franchise, in any jurisdiction where such an offer or solicitation would be unlawful. Listings describe businesses that may be available for purchase; they are not offers capable of acceptance, and no transaction is formed by browsing, enquiring about, or expressing interest in a listing through this Site.
Any actual sale of a business is subject to a separate, definitive written agreement between the buyer and seller, and, where applicable, our brokerage engagement terms.
4. Listing information
Financial figures, descriptions, photographs and other details about businesses listed on this Site (asking price, cash flow, revenue, and similar figures) are supplied to us by the seller, the seller’s representatives, or other third parties. We have not independently verified this information, and we do not warrant its accuracy, completeness, or currency.
You are responsible for conducting your own due diligence — including independent verification of financial, legal, operational and any other material facts — before relying on any listing or making any decision related to it. A listing being shown as active on this Site does not guarantee the business remains available.
5. Confidentiality and the NDA process
Certain information about a listed business is confidential and is released only after you sign a non-disclosure agreement (“NDA”) and, where applicable, are approved as a qualified buyer. By requesting or accepting confidential information under an NDA, you agree to use it solely to evaluate the specific business named in that NDA, not to disclose it to any third party except as the NDA permits, and not to contact the business, its employees, customers, landlord or suppliers directly without our prior consent.
Most businesses offered through this Site are represented by our sister brand, Franchise Sellers. Where that is the case, the NDA and the buyer-qualification process are administered by Franchise Sellers, and references in this section to our consent and to disclosure to us include Franchise Sellers.
Breach of an NDA may result in legal liability to the seller and to us, independent of these Terms.
6. No professional, legal or financial advice
Content on this Site — including valuation ranges, industry multiples, articles, and any calculator or estimator tool — is provided for general informational purposes only. It is not legal, tax, accounting, financial or investment advice, and it is not a substitute for advice from a qualified professional engaged for your specific situation. You should not act, or decline to act, based solely on information from this Site.
7. Intellectual property
The Site, including its text, design, graphics, logos and the Company Sellers name and marks, is owned by or licensed to Company Sellers and is protected by applicable intellectual property laws. You may view and print pages from the Site for your own personal, non-commercial use in evaluating a business or our services. You may not otherwise copy, reproduce, republish, or create derivative works from the Site’s content without our prior written permission.
8. Third-party links
The Site may link to, or embed content from, third-party websites and services (for example, mapping, scheduling, or payment tools). We do not control and are not responsible for the content, accuracy, or practices of third-party sites. Your use of a third-party site is governed by that site’s own terms and privacy policy.
9. Limitation of liability
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, Company Sellers, LLC and its members, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or related to your use of the Site or reliance on any listing or content on it — even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles.
11. Changes to these Terms
We may update these Terms from time to time. The effective date at the top will change, and continued use of the Site after an update constitutes acceptance of the revised Terms.
